Key terms of the deal
As part of the deal, the combined company could be worth approximately $745 million, or a multiple of 6.1 times Golden Nugget Online Gaming’s $122 million projected revenue in 2021. The remuneration payable to GNOG’s parent organization will consist of a combination of cash and equity in Landcadia II. Upon completion of the transaction, Tilman J. Fertitta, Chairman and CEO, through parent company Golden Nugget Online Gaming, will own a majority stake in the combined company. The combined company will have a dual-class share structure with Fertitta having multiple voting rights per share.
Landcadia II will take on Golden Nugget Online Gaming’s $150 million debt and will pay an additional $150 million of its debt at closing, as well as pay pre-payment fees, transaction fees and other expenses. Approximately $321 million is currently held in the trust account of Landcadia II, which is due to be redeemed. After payment of the purchase price, repayment of debt, payment of commissions and costs of the transaction, the combined company will have at least $80 million on its consolidated balance sheet at the time of closing, the expected market capitalization shares will amount to almost $700 million.
Following the closing of the transaction, the company will be structured as an Up-C (Umbrella partnership C corporation), where the company indirectly owned by Mr. Fertitta will retain the general properties of the partnership managed by the combined company and the same number of non-economic voting shares in the combined company. The combined company will also enter into an ordinary tax treaty for the receivables of a legal entity indirectly owned by Fertitta, which will provide for the sharing of tax benefits associated with certain tax features prior to the combination, as well as tax features generated by the transaction and any subsequent sale or exchange of a company indirectly owned by Fertitta of their equity interests, as these features will be generated by the combined company.
